Bonanza Platform Terms and Conditions 

Welcome to the Bonanza platform (the “Platform”). These Terms and Conditions (the “Terms”) constitute a legally binding agreement between you and Bonanza, Inc. (the “Company”).

Please read these Terms carefully before registering, accessing, or using the Platform. If you do not agree with any part of these Terms, do not use the Platform.

1. Definitions

  • Platform: The online e-commerce platform operated by Bonanza.

  • Seller: An individual or legal entity who registers on the Platform and lists products or services for sale.

  • Buyer: A user who purchases products or services through the Platform.

  • User: Collectively refers to Sellers and Buyers.

  • Services: The online posting, display, transaction matching, payment support, and related technical services provided by the Platform.

2. Account Registration and Eligibility

  • Users must have full legal capacity.

  • Users must provide accurate, truthful, and complete information.

  • The Platform reserves the right to suspend or terminate accounts if false information is detected.

3. Seller Responsibilities

Sellers, as independent operators, must comply with the following obligations:

3.1 Legal Compliance

Sellers must comply with all applicable laws and regulations, including but not limited to:

  • Consumer protection laws

  • Product safety regulations

  • Tax laws

  • Import/export regulations

  • Data protection laws

Sellers must not sell:

  • Illegal products

  • Infringing products

  • Counterfeit products

  • Hazardous items without proper permits

  • Products violating Platform policies

3.2 Product Information Accuracy

Sellers must:

  • Accurately describe products

  • Provide truthful images

  • Avoid false advertising

  • Avoid misleading buyers

  • Clearly indicate prices, shipping, taxes, and additional fees

Sellers are fully responsible for any disputes caused by inaccurate product descriptions.

3.3 Intellectual Property

Sellers must ensure that their products do not infringe third-party intellectual property rights.
Sellers must have legal rights to use any images, text, or brand identifiers uploaded.
Sellers are responsible for compensating the Platform for losses resulting from IP infringement.

3.4 Fulfillment

Sellers must:

  • Ship products within promised timeframes

  • Provide valid shipping information

  • Properly package products

  • Ensure products match their descriptions

Late shipments, false shipments, or refusal to fulfill orders may result in:

  • Account restrictions

  • Fines

  • Permanent suspension

3.5 After-Sales Service

Sellers must:

  • Provide reasonable return and refund policies

  • Respond promptly to customer inquiries

  • Properly handle refund requests

  • Cooperate with Platform investigations

Sellers must not:

  • Maliciously refuse refunds

  • Ask buyers to bypass the Platform

  • Harass or threaten buyers

3.6 Tax Responsibilities

Sellers are responsible for:

  • Reporting income

  • Paying sales tax/VAT

  • Complying with local tax laws

The Platform is not responsible for sellers’ tax obligations.

3.7 Data Protection

Sellers must not:

  • Collect buyer personal data without consent

  • Disclose customer information

  • Use customer data illegally beyond marketing purposes

Violation of data protection obligations may lead to legal liability.

3.8 Prohibited Conduct

Sellers must not:

  • Manipulate ratings or reviews

  • Conduct fake transactions or "shill" activity

  • Engage in malicious competition

  • Evade Platform fees

  • Use the Platform for fraud

4. Platform Rights

The Platform has the right to:

  • Review and remove product listings

  • Restrict or terminate accounts

  • Adjust fee structures

  • Modify Platform rules

  • Cooperate with law enforcement investigations

5. Fees and Payments

Sellers must pay Platform service fees, commissions, and other applicable charges.
Fee structures are subject to Platform announcements.
The Platform may deduct refunds, compensations, or fines from payments.

6. Limitation of Liability

The Platform only facilitates transactions and does not directly sell products.
The Platform does not guarantee product quality.
The Platform is not liable for service interruptions caused by force majeure events.

7. Indemnification

Sellers agree to indemnify and hold the Platform harmless, including legal fees and litigation costs, for claims arising from:

  • Legal action against the Platform

  • Regulatory penalties

  • Damage to Platform reputation

8. Account Termination

The Platform may terminate accounts for:

  • Legal violations

  • Policy violations

  • Multiple complaints

  • Fraudulent activity

The Platform may retain necessary data after termination to comply with legal obligations.

9. Dispute Resolution

These Terms are governed by U.S. law.
Disputes should first be resolved through negotiation.
If negotiation fails, disputes may be submitted to courts or arbitration with jurisdiction.

10. Amendments

The Platform reserves the right to modify these Terms at any time.
Continued use of the Platform constitutes acceptance of the updated Terms.
